TigerConnect Nurse Call Addendum

This TigerConnect Nurse Call Addendum (this “Addendum”) is incorporated into and governed by the TigerConnect Terms of Service Agreement (as amended, the “Terms”) and applies to Customer’s access to and use of the TigerConnect Nurse Call product. Capitalized terms used but not defined in this Addendum have the meanings given to them in the Terms. In the event of a conflict between this Addendum and the Terms, this Addendum shall prevail solely with respect to the subject matter expressly addressed herein.
1. DEFINITIONS
In addition to the definitions in the Terms, the following definitions apply to this Addendum:
“CA” and “CA CommonPath® Software” means Intego Software, LLC d/b/a Critical Alert, TigerConnect’s third-party supplier of the proprietary nurse call software platform. “CA CommonPath® Software” means the machine-executable binary object code version of the CA CommonPath® Nurse Call software product, including any firmware embedded in CA Hardware and any Releases issued by CA, licensed by CA to TigerConnect and sublicensed by TigerConnect to Customer pursuant to this Addendum.
“CA Hardware” means the Critical Alert-manufactured nurse call communication devices supplied as part of the Nurse Call System, as identified in the applicable Order Form.
“CA Materials” means all tangible and intangible materials (including hardware, software, source code, documentation, methodologies, know-how, processes, techniques, ideas, concepts, technologies, and data) provided by or on behalf of CA in connection with the Nurse Call System.
“Facility Nurse Call Infrastructure” means the physical infrastructure at Customer’s facilities necessary to support the Nurse Call System, including without limitation hardwired nurse call station cabling, network switches, PoE+ ports, VLAN configurations, broadband connectivity, wireless access points, and any existing third-party nurse call system hardware with which the Nurse Call System integrates.“Nurse Call System” means the integrated solution comprising: (i) the CA CommonPath® Software; (ii) CA Hardware (if applicable); (iii) TigerConnect platform components used to route, display, and manage nurse call alerts; and (iv) associated Professional Services, as more particularly described in an applicable Order Form.
“Releases” means any updates, upgrades, revisions, bug fixes, supplements, or configuration changes to the CA CommonPath® Software issued by CA from time to time.
“Service Management Agreement” or “SMA” means the maintenance services agreement under which ongoing post-warranty technical support, repair services, and Releases for CA Hardware and CA CommonPath® Software are provided following the expiration of applicable warranty periods.
2. SCOPE AND APPLICATION
2.1 Applicability. This Addendum applies to all Order Forms under which Customer has purchased or licensed the Nurse Call System. This Addendum supplements the Terms and does not replace any provision thereof except as expressly stated.
2.2 Third-Party Technology. Customer acknowledges that the Nurse Call System incorporates CA Materials licensed by TigerConnect from CA. Certain rights and obligations applicable to CA Materials are governed by the terms passed through in this Addendum. No direct contractual relationship is created between Customer and CA by reason of this Addendum; TigerConnect remains the sole contracting party for Customer. TigerConnect will notify Customer in writing of any material obligations imposed on end-user customers under TigerConnect’s agreements with CA that are not replicated in this Addendum.
2.3 Relationship to AMEN Product. Where Customer has also licensed TigerConnect’s Alarm Management & Event Notification (“AMEN”) product, the Nurse Call System and AMEN may be deployed in an integrated configuration. Both this Addendum and any AMEN-specific terms applicable under Customer’s Order Form shall apply to their respective components. In the event of a conflict between this Addendum and any AMEN-specific terms, TigerConnect shall determine the applicable provision, acting reasonably and in good faith.
3. LICENSE GRANT AND RESTRICTIONS
Subject to Customer’s compliance with the Terms and this Addendum and payment of all applicable fees, TigerConnect hereby grants Customer a non-exclusive, non-transferable, non-sublicensable, revocable license to: (a) install and use the CA CommonPath® Software solely for Customer’s internal purposes and in accordance with applicable Documentation, on the number of machines or virtual machines specified in the applicable Order Form; and (b) use CA Hardware solely in connection with (a) above and solely at the Customer facility or facilities specified in the Order Form.
4. CUSTOMER INFRASTRUCTURE REQUIREMENTS
4.1 General Infrastructure Obligations. Customer acknowledges that the Nurse Call System is dependent upon Facility Nurse Call Infrastructure not provided by TigerConnect or CA. Prior to deployment and throughout the Term, Customer shall, at its own expense:
- provide and maintain high-speed, quality broadband internet access to each Customer facility at which the Nurse Call System is deployed;
- provide and maintain strong, reliable Wi-Fi connectivity meeting TigerConnect’s minimum published specifications within each facility;
- provide nurse call wiring runs between nurse call patient stations and all display or endpoint locations, terminated appropriately at each location;
- configure network ports, PoE+ switches, and VLAN settings as required by TigerConnect’s Documentation and implementation specifications;
- maintain, update, and keep current all MDM systems, operating systems, and security software on devices used with the Nurse Call System;
- ensure that any third-party nurse call system hardware or systems with which the Nurse Call System integrates are technically compatible with the Nurse Call System as documented by TigerConnect or CA; and
- provide secure remote access to TigerConnect (using TigerConnect’s preferred connection method or a mutually agreed site-to-site VPN) for ongoing maintenance and support, provisioned within ten (10) business days of the Effective Date or execution of the applicable SOW.
4.2 Service Outages. Service outages may occur due to factors outside TigerConnect’s and CA’s control, including power failures, network outages, broadband provider interruptions, third-party service provider failures, PSTN issues, and facility infrastructure failures. Customer acknowledges that the Nurse Call System may be unavailable in whole or in part during such outages.
4.3 Mandatory Backup Systems. Customer is solely responsible for maintaining separate, redundant, and certified nurse call and emergency communication systems that are independent of the Nurse Call System, as required by all applicable laws, regulations, and accreditation standards, including without limitation NFPA 99, CMS Conditions of Participation (42 CFR Part 482), applicable Joint Commission standards, and state healthcare facility licensure requirements. The Nurse Call System is not intended to be, and shall not be used as, Customer’s sole or primary patient alert or emergency notification system.
5. WARRANTIES
5.1 CA CommonPath® Software Warranty (Pass-Through). TigerConnect passes through to Customer the following warranties made by CA with respect to the CA CommonPath® Software, to the extent TigerConnect has the benefit of such warranties under its agreement with CA:
- Warranty Period: For one (1) year from the go-live date of the CA CommonPath® Software (the “Software Warranty Period”), CA warrants that: (i) the medium on which the Software is provided will be free from defects; (ii) the Software does not infringe any U.S. patent, trademark, copyright, or trade secret held by a third party; (iii) to CA’s knowledge, no third party is infringing CA’s rights with respect to the Software; and (iv) prior to delivery, the Software was audited and tested in accordance with CA’s internal quality control processes.
- Sole Remedy: Customer’s sole and exclusive remedy for a valid breach of the warranty in Section 5.1(a) is, at TigerConnect’s or CA’s option and expense, repair of the defective Software or medium, or delivery of equivalent Software or medium.
- Warranty Exclusions: The warranty in Section 5.1(a) does not apply if the alleged breach was caused by: (i) failure to follow CA’s or TigerConnect’s installation, operation, or maintenance instructions; (ii) improper installation or configuration; (iii) unauthorized repair, alteration, or modification; (iv) connection to incompatible equipment; (v) failure or inadequate functionality of required infrastructure; (vi) abuse or misuse; (vii) negligent acts or omissions by Customer or persons under Customer’s direction or control; (viii) acts or omissions of third parties; (ix) use other than in the normal and customary manner; (x) viruses or software conflicts not introduced by CA or TigerConnect; (xi) use with unapproved third-party items, products, or software; (xii) operator error; or (xiii) a Force Majeure Event.
5.2 CA Hardware Warranty (Pass-Through). TigerConnect passes through to Customer the following warranties made by CA with respect to CA Hardware, to the extent TigerConnect has the benefit of such warranties under its agreement with CA:
- Warranty Period: CA-manufactured CA Hardware will be free from manufacturing defects, under normal use and service, for five (5) years from the date of purchase (the “CA Hardware Warranty Period”).
- Sole Remedy: Customer’s sole and exclusive remedy is, at TigerConnect’s or CA’s option and expense, repair of the defective CA Hardware or delivery of equivalent CA Hardware. All CA Hardware replaced under this warranty becomes the property of CA. Replacement CA Hardware may be new or reconditioned and is warranted for ninety (90) days from shipment or the remainder of the CA Hardware Warranty Period, whichever is longer.
- Warranty Exclusions: The CA Hardware warranty does not apply if the alleged defect was caused by: (i) bent or broken connectors; (ii) failure to follow installation, operation, or maintenance instructions; (iii) improper installation or configuration; (iv) incorrect sterilization; (v) unauthorized repair, relocation, or reinstallation by persons other than CA’s authorized personnel or without CA’s written permission; (vi) connection to incompatible equipment; (vii) failure or inadequate functionality of required infrastructure; (viii) alteration or modification; (ix) abuse, misuse, neglect, or theft; (x) negligent acts or omissions by Customer or persons under Customer’s direction or control; (xi) acts or omissions of third parties; (xii) use other than in the normal and customary manner; (xiii) use with unapproved third-party items, products, or software; (xiv) operator error; or (xv) a Force Majeure Event.
- Bench Fee: A bench fee equivalent to 50% of CA’s then-current hourly repair labor rate will be charged on CA Hardware returned for repair where no defect is found or where any exclusion under Section 5.2(c) applies.
- Non-CA Hardware: Hardware supplied with the Nurse Call System that is not manufactured by CA is subject to the warranty of the original manufacturer only. TigerConnect will provide original manufacturer warranty information on request.
5.3 Professional Services Warranty. TigerConnect warrants to Customer that TigerConnect’s professional services performed in connection with the Nurse Call System will be performed in a workmanlike manner consistent with generally accepted industry standards for the following warranty periods: (a) one (1) year from the date of system certification for any CA Hardware installation services; and (b) ninety (90) days from the date of completion for all other professional services. Customer’s sole and exclusive remedy is re-performance of the affected services by TigerConnect or CA at TigerConnect’s or CA’s expense.
5.4 Disclaimer. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EXCEPT AS EXPRESSLY SET OUT IN SECTIONS 5.1, 5.2, AND 5.3 OF THIS ADDENDUM AND SECTION 7 OF THE TERMS, THE NURSE CALL SYSTEM (INCLUDING THE CA COMMONPATH® SOFTWARE AND CA HARDWARE) IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, SATISFACTORY QUALITY, AND CORRESPONDENCE WITH DESCRIPTION, ALL OF WHICH ARE EXPRESSLY DISCLAIMED. TIGERCONNECT DOES NOT WARRANT THAT THE NURSE CALL SYSTEM WILL MEET CUSTOMER’S REQUIREMENTS, THAT OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. CA MAKES NO REPRESENTATION OR WARRANTY CONCERNING THIRD-PARTY SOFTWARE OR APPLICATIONS AND HAS NO OBLIGATION OR LIABILITY WITH RESPECT THERETO.
6. HARDWARE LOGISTICS AND TITLE
6.1 Delivery and Risk of Loss. Unless otherwise agreed in an Order Form, CA Hardware is delivered Ex Works (Incoterms 2020) from CA’s designated facility (“Transfer Point”). Title and risk of loss for CA Hardware pass to Customer at the Transfer Point. Customer is responsible for: (a) insuring CA Hardware from the Transfer Point and thereafter; (b) filing appropriate loss or damage claims with its insurer; and (c) paying all freight, transportation, and handling charges from the Transfer Point.
6.2 Lead Times. Unless otherwise agreed in writing, lead times for CA Hardware will be a minimum of thirty (30) days after TigerConnect’s acceptance of an Order Form. TigerConnect shall not be bound to any specific lead time or delivery date absent express written agreement.
6.3 Data Wiping Before Hardware Return. TigerConnect will not be responsible for any software, firmware, settings, configurations, or data of Customer contained in, stored on, or integrated with CA Hardware returned for any reason. Prior to returning any CA Hardware, Customer shall: (a) preserve any data it wishes to retain; and (b) completely wipe and purge all confidential, proprietary, or sensitive information, including without limitation all PHI and protected health information. Customer acknowledges that failure to wipe such information before returning CA Hardware constitutes a material breach of this Addendum and the Terms. Customer shall indemnify, defend, and hold harmless TigerConnect (and CA, as an express third-party beneficiary of this obligation only) from and against any and all losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising from Customer’s failure to completely wipe and purge all information from CA Hardware prior to return.
7. MAINTENANCE AND SUPPORT
7.1 Standard Support. TigerConnect will provide Technical Support for the Nurse Call System in accordance with the Terms, the applicable Order Form, and TigerConnect’s then-current support policies.
7.2 Post-Warranty Maintenance. Unless Customer has separately arranged for ongoing maintenance services covering the CA CommonPath® Software (whether through a TigerConnect-managed Service Management Agreement or otherwise), Customer will not receive post-warranty technical support, repair services, or Releases for the CA CommonPath® Software or CA Hardware, and will be required to pay for such services on a per-incident basis at TigerConnect’s or CA’s then-current rates.
7.3 Third-Party Application Integration. Any integration of the Nurse Call System with third-party applications must be validated and approved in advance by TigerConnect in writing (which TigerConnect shall obtain from CA as necessary). TigerConnect makes no representations or warranties and has no obligation, express or implied, with respect to third-party applications. All warranties (if any) available with respect to third-party applications are provided directly by the relevant manufacturer or licensor.
8. DATA AND PROTECTED HEALTH INFORMATION
8.1 Customer Data Ownership. Customer owns all Customer Data processed through the Nurse Call System, including nurse call alert logs, patient room assignments, staff assignment data, and other data submitted by or on behalf of Customer. Section 6 of the Terms applies in full to data generated through the Nurse Call System.
8.2 PHI in Nurse Call Alerts. Customer acknowledges that nurse call alerts and associated routing data may constitute or include PHI under HIPAA where associated with identifiable patient information. Customer is responsible for ensuring that its use of the Nurse Call System complies with HIPAA and all applicable state health privacy laws. The Business Associate Agreement incorporated by reference in Section 6.5 of the Terms covers TigerConnect’s handling of PHI in connection with the Nurse Call System.
8.3 Data Geographic Limitation. All Customer Data processed through the Nurse Call System, including through CA Materials, will be stored and processed within the United States, consistent with Section 6.1 of the Terms.
8.4 Usage Data. TigerConnect may collect, use, and store de-identified, aggregated Usage Data derived from Customer’s use of the Nurse Call System, consistent with Section 6.2 of the Terms. Usage Data shall not include PHI or any data that identifies Customer or any Authorized User.
9. INTELLECTUAL PROPERTY
9.1 CA Intellectual Property. The CA CommonPath® Software, Documentation, and all CA Materials are and shall remain the sole and exclusive property of CA or its suppliers. No title to or ownership of the CA CommonPath® Software transfers to Customer under this Addendum. The license granted in Section 3.1 is a license only, not a sale.
9.2 TigerConnect Intellectual Property. All TigerConnect intellectual property rights in the Services and platform components used to deliver the Nurse Call System, and all improvements, customizations, and derivative works thereof, are and shall remain the sole and exclusive property of TigerConnect, consistent with Section 8 of the Terms.
9.3 Customer Intellectual Property. Customer retains all rights in Customer Data and Customer’s pre-existing intellectual property. No license to Customer’s intellectual property is granted to TigerConnect or CA except as expressly set out in the Terms.
9.4 Feedback. Any Feedback provided by Customer with respect to the Nurse Call System may be used by TigerConnect and, to the extent relating to the CA CommonPath® Software, shared with CA for the purposes of improving the Nurse Call System, subject to Section 18.2 of the Terms.
10. NURSE CALL SAFETY NOTICE AND DISCLAIMER
10.1 Customer Acknowledgements. Customer fully understands, acknowledges, and agrees that:
- The Nurse Call System is a software and hardware alert notification tool designed to route and display nurse call alerts. It is not a certified medical device and has not been cleared or approved by the FDA or any other regulatory body as a medical device;
- The Nurse Call System is dependent on Facility Nurse Call Infrastructure and third-party network services not provided by TigerConnect or CA, and service outages may occur outside their control;
- The Nurse Call System must not be used as Customer’s sole or primary nurse call, patient alert, or emergency notification system, and Customer must at all times maintain separate, redundant, and certified nurse call and emergency systems as required by applicable law, regulation, and accreditation standards;
- There may be occasional communication failures, delays, or errors in delivering nurse call alerts, and neither TigerConnect nor CA warrants that the Nurse Call System will perform at the same level of reliability as certified medical devices or regulated nurse call systems;
- Customer is solely responsible for training its clinical and administrative staff on the capabilities and limitations of the Nurse Call System, including the circumstances in which nurse call alerts may not be delivered;
- Customer is solely responsible for compliance with all applicable federal, state, and local laws and regulations governing nurse call systems and clinical communication, including NFPA 99, CMS Conditions of Participation (42 CFR Part 482), applicable Joint Commission standards, and state healthcare facility licensure requirements; and
- TigerConnect is not responsible for the clinical consequences of any nurse call alert that fails to be delivered, is delayed, or is delivered in error.
10.2 Safety Disclaimer. CUSTOMER IS SOLELY RESPONSIBLE FOR: (A) MAINTAINING SEPARATE, CERTIFIED NURSE CALL AND EMERGENCY RESPONSE SYSTEMS AS REQUIRED BY ALL APPLICABLE LAWS, REGULATIONS, AND ACCREDITATION STANDARDS; (B) TRAINING ITS STAFF ON THE LIMITATIONS OF THE TIGERCONNECT NURSE CALL PRODUCT; AND (C) NOT RELYING ON TIGERCONNECT NURSE CALL AS THE SOLE OR PRIMARY MEANS OF PATIENT ALERT OR EMERGENCY NOTIFICATION. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER TIGERCONNECT NOR CA WILL BE LIABLE FOR ANY HARM, INJURY, LOSS, COST, OR DAMAGE OF ANY KIND ARISING FROM: (A) CUSTOMER’S FAILURE TO MAINTAIN SEPARATE, CERTIFIED NURSE CALL AND EMERGENCY COMMUNICATION SYSTEMS; (B) THE FAILURE, DELAY, OR INACCURACY OF ANY NURSE CALL ALERT DELIVERED OR NOT DELIVERED THROUGH THE NURSE CALL SYSTEM; (C) CUSTOMER’S RELIANCE ON THE NURSE CALL SYSTEM AS A SOLE OR PRIMARY PATIENT ALERT MECHANISM; OR (D) ANY CLINICAL DECISION OR ACTION TAKEN OR NOT TAKEN IN RELIANCE ON A NURSE CALL ALERT. NOTHING IN THIS ADDENDUM MODIFIES THE LIMITATION OF LIABILITY SET OUT IN SECTION 16 OF THE TERMS, WHICH APPLIES IN FULL TO THE NURSE CALL SYSTEM. FOR THE AVOIDANCE OF DOUBT, THE CARVEOUT FOR CLAIMS INVOLVING BODILY INJURY OR DEATH IN SECTION 16 OF THE TERMS CONTINUES TO APPLY.
11. INDEMNIFICATION
11.1 General. The indemnification provisions set out in Section 14 of the Terms apply in full to the Nurse Call System.
11.2 Additional Customer Indemnification — Nurse Call. Without limiting Section 14 of the Terms, Customer will additionally indemnify, hold harmless, and defend TigerConnect and CA (as an express third-party beneficiary of this Section 11.2 only) and their respective officers, directors, employees, agents, successors, and assigns from and against any and all losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising from or related to:
- Customer’s failure to maintain separate, redundant, and certified nurse call and emergency communication systems as required by applicable law, regulation, and accreditation standards;
- Customer’s use of the Nurse Call System in violation of applicable law or regulation governing nurse call or patient alert systems;
- Customer’s failure to wipe and purge PHI or other protected information from CA Hardware prior to return to TigerConnect or CA; and
- Customer’s use of the Nurse Call System in combination with any third-party application or system not approved by TigerConnect in writing.
11.3 CA CommonPath® Software IP Indemnification (Pass-Through). To the extent TigerConnect has the benefit of CA’s IP infringement indemnification under its agreement with CA, TigerConnect will pass through such benefit to Customer on the following terms, in addition to TigerConnect’s own IP indemnification obligations under Section 14.3 of the Terms:
- TigerConnect will defend Customer against a third-party claim that the CA CommonPath® Software, as licensed to Customer, infringes a third party’s U.S. intellectual property rights, and will pay resulting costs and reasonable attorneys’ fees.
- Exclusions: TigerConnect (and CA) will have no obligation for claims arising from: (i) modification or alteration of the CA CommonPath® Software; (ii) use in combination with unapproved third-party products where the infringement arises from the combination; (iii) compliance with Customer’s designs, specifications, or instructions; or (iv) Customer’s use of a superseded Release where the current Release is available on commercially reasonable terms and thirty (30) days’ advance written notice was provided.
- Remedy Options: If the CA CommonPath® Software becomes the subject of an IP infringement claim, TigerConnect (and/or CA) may, at their option and expense: (i) procure a license for Customer to continue using the CA CommonPath® Software; (ii) replace or modify the CA CommonPath® Software with functionally equivalent, non-infringing software; or (iii) if neither option is commercially practicable, terminate the affected license and refund to Customer the value of CA CommonPath® Software fees paid, depreciated on a straight-line basis over five (5) years, less any amounts owed to TigerConnect. This constitutes Customer’s sole and exclusive remedy for IP infringement claims relating to the CA CommonPath® Software.
12. MISCELLANEOUS
12.1 Surviving Provisions. The following provisions of this Addendum survive the termination or expiration of the Agreement: Sections 3, 6.3, 8, 9, 10, 11, 12, and this Section 13.
12.2 Export Compliance. The CA CommonPath® Software, CA Hardware, and related technical data are subject to U.S. export control laws. Customer agrees to comply with all applicable U.S. and foreign export laws and regulations and shall not export or re-export any CA Materials in violation thereof. Customer represents that it is not a Prohibited Person and is not located in a Prohibited Jurisdiction as defined in Section 18.14 of the Terms. The CA CommonPath® Software is a “commercial item” as defined in 48 C.F.R. § 2.101, consisting of “commercial computer software” and “commercial computer software documentation.” If Customer is a U.S. Government entity, the CA CommonPath® Software is licensed hereunder only as a commercial item and with only those rights as are granted to all other customers under this Addendum.
