TigerConnect Physician Scheduling Addendum

TigerConnect Physician Scheduling provides an online software solution to create, maintain, and communicate physician work and on-call schedules (the “Physician Scheduling Software”). This Addendum sets forth the additional terms and restrictions applicable to the TigerConnect Physician Scheduling product.

1. License Grant and Use. TigerConnect hereby grants Customer a license to use the Physician Scheduling Software solely as a means for accessing, storing, loading, installing, executing, or displaying the Physician Scheduling Software for use in generating or viewing on-call schedules for specialty medical groups or departments within a hospital or healthcare setting. Customer may not modify the Physician Scheduling Software or disable any licensing or control features of the Physician Scheduling Software. If the Physician Scheduling Software is licensed for one user or entity only, Customer may not allow more than the maximum number of Authorized Users to use the Physician Scheduling Software.
2. Services Provided by TigerConnect. TigerConnect will provide Customer the following services:
   1. Configuration and access to the TigerConnect Physician Scheduling schedule creation product.
   2. Configuration and access to the TigerConnect Physician Scheduling Microsite product.
   3. Online training to assigned schedule creators.
   4. Physician Scheduling Software support from 5:30 a.m. to 5:30 p.m. (Pacific time), Monday through Friday, and 8:00 a.m. to 5:00 p.m. (Pacific time) on weekends (excluding major holidays).
   5. 24 x 7 emergency support.
3. Customer Responsibilities. Customer will be responsible for the following:
   1. Designating one (1) main scheduler point person for project coordination at all times, including at the outset of the Implementation Phase.
   2. Providing assistance in coordinating scheduler training.
   3. Completing training, configurations, and implementation with assigned trainer at all times, including during the Implementation Phase.
   4. Making the TigerConnect Physician Scheduling system available to all eligible users.
   5. Training individual doctors on how to use the TigerConnect Physician Scheduling system.
   6. Complying with all terms of the Agreement and this Addendum in using the TigerConnect Physician Scheduling system.
4. Access Upon Termination. Upon expiration or other termination of the Subscription Term, Customer’s account will be deactivated, and Customer will no longer have access to the Software or any of the Services in the TigerConnect Physician Scheduling system; provided, however, that, for a period of 30 days following any such expiration or termination, Customer may in its sole discretion export or print off the information created by Customer in connection with its use of the TigerConnect Physician Scheduling system at no charge.
5. Scheduling Agent and Scheduling Engine. Where the Physician Scheduling Services include the Scheduling Agent features (each an “AI Scheduling Feature”), Customer Data, including provider preferences, scheduling rules, on-call assignments, and related inputs, may be processed by TigerConnect’s artificial intelligence and machine learning technologies in order to generate scheduling outputs, recommendations, natural language responses, and optimization summaries (collectively, “Scheduling Suggestions”). The AI Scheduling Features are subject to the general AI provisions set out in Section 9.3 of the Terms of Service. The following additional terms apply specifically to the AI Scheduling Features.
   1. Data Handling. Customer Data submitted to or processed by an AI Scheduling Feature is transmitted only as necessary to generate Scheduling Suggestions in real time. TigerConnect will not use Customer Data processed through an AI Scheduling Feature to train or improve AI models offered to other customers without Customer’s prior written consent, consistent with Section 9.3 of the Terms.
   2. Ownership of Scheduling Suggestions. Scheduling Suggestions are considered Customer Data. TigerConnect hereby assigns to Customer all of TigerConnect’s right, title, and interest in and to any Scheduling Suggestions generated for Customer. Notwithstanding the foregoing, Customer acknowledges that Scheduling Suggestions are generated automatically by machine learning technology and may be similar to or the same as outputs generated for other customers; no rights to Scheduling Suggestions generated for or provided to other customers are granted to Customer under this Agreement.
   3. Acknowledgment of AI Limitations. Customer acknowledges that there are inherent limitations associated with AI-generated outputs, including that: (i) Scheduling Suggestions may contain errors, omissions, or misleading information and should not be relied upon without independent review; (ii) the Scheduling Agent may misinterpret natural language queries, particularly those involving clinical shorthand, facility-specific terminology, or ambiguous requests; (iii) AI models may reflect biases present in training data, which may result in outputs that are suboptimal or inconsistent; (iv) Scheduling Suggestions are generated based on the inputs and rules provided and do not constitute professional staffing, clinical, or operational advice; and (v) automated scheduling outputs may not account for all relevant operational, regulatory, or clinical constraints unless those constraints have been expressly configured in the system by Customer.
   4. Customer Responsibility; Human Review. Customer is solely responsible for reviewing, evaluating, and approving all Scheduling Suggestions before implementing them. The AI Scheduling Features are decision-support tools intended to assist qualified scheduling personnel; they are not a substitute for human judgment. Customer bears all responsibility for staffing decisions, provider assignments, and scheduling outcomes, and Customer assumes all risks associated with reliance on any Scheduling Suggestion without independent verification.
   5. Clinical Staffing Disclaimer. Customer acknowledges that scheduling decisions may affect clinical staffing levels and provider coverage. THE AI SCHEDULING FEATURES ARE NOT DESIGNED OR INTENDED TO BE USED AS THE SOLE BASIS FOR STAFFING DECISIONS THAT AFFECT PATIENT SAFETY OR REGULATORY COMPLIANCE. Customer is responsible for maintaining appropriate staffing levels and for ensuring that its scheduling practices comply with all applicable clinical, regulatory, and accreditation requirements, independently of any Scheduling Suggestion.
   6. Prohibited Uses. Customer shall not use any AI Scheduling Feature or any Scheduling Suggestions to: (i) develop or train a language model or any other machine learning model that is competitive with the Services; (ii) engage in model extraction or theft attacks; or (iii) make autonomous, unreviewed staffing decisions that affect patient care without appropriate human oversight.
   7. WARRANTY DISCLAIMER. ANY SCHEDULING SUGGESTIONS ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. TIGERCONNECT MAKES NO REPRESENTATIONS OR WARRANTIES WITH RESPECT TO THE ACCURACY, COMPLETENESS, OR FITNESS FOR PURPOSE OF ANY SCHEDULING SUGGESTIONS. CUSTOMER SHOULD NOT IMPLEMENT ANY SCHEDULING SUGGESTION WITHOUT INDEPENDENT REVIEW AND APPROVAL BY A QUALIFIED MEMBER OF CUSTOMER’S SCHEDULING PERSONNEL. SCHEDULING SUGGESTIONS MAY CONTAIN MATERIAL INACCURACIES EVEN WHERE THEY APPEAR DETAILED OR SPECIFIC.
6. LIMITATIONS. THE TIGERCONNECT PHYSICIAN SCHEDULING SYSTEM AND SOFTWARE IS NOT INTENDED TO BE USED FOR ANY PATIENT DATA. END USERS MAY NOT ENTER, STORE, OR USE THE SYSTEM OR SOFTWARE TO TRANSMIT RESTRICTED INFORMATION OR ANY PERSONAL HEALTH INFORMATION USING THE SYSTEM OR THE SOFTWARE. ENTERING RESTRICTED HEALTH INFORMATION INTO THE SYSTEM IS PROHIBITED, A DIRECT VIOLATION OF THE AGREEMENT AND GROUNDS FOR IMMEDIATE SUSPENSION OR TERMINATION OF CUSTOMER’S ACCESS TO THE SYSTEM AND THE SOFTWARE. TIGERCONNECT IS NOT RESPONSIBLE FOR ANY ACTION OR LIABILITY RESULTING FROM CUSTOMER’S VIOLATION OF THIS POLICY.
